1. Agreement Overview
These General Terms govern advisory and workshop engagements delivered by Nodehub Focus (“we”, “us”) to clients (“you”) requesting technical roadmap consulting and related services in South Korea unless superseded by a signed statement of work.
2. Services and Deliverables
Services comprise facilitation, discovery, documentation, and recommendations described in your order or statement of work. Deliverables are professional opinions intended to inform your decisions; they are not guarantees of business outcomes or vendor performance.
3. Client Responsibilities
You provide timely access to stakeholders, accurate background materials, safe access credentials where approved, and decision-makers for prioritization sessions. Delays on your side may extend calendars and may incur deferral fees stated in your engagement letter.
4. Fees and Invoicing
Fees are quoted in KRW unless noted otherwise. Invoices follow agreed milestones. Late payments may pause work and accrue statutory interest permissible under Republic of Korea commercial practice. Prices shown on the website are informational only until confirmed in writing.
5. Intellectual Property
You retain ownership of your pre-existing materials. We retain ownership of our methodologies, templates, and anonymized learnings. Deliverables prepared specifically for you are licensed for internal use upon payment, excluding redistribution as commercial training material without consent.
6. Confidentiality
Both parties protect confidential information disclosed during engagements using reasonable safeguards. Exceptions include information already public, independently developed, or legally compelled disclosures where notice is permitted.
7. Limitation of Liability
To the fullest extent permitted under Korean law, our aggregate liability arising from an engagement is limited to fees paid for that engagement during the six months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
8. Governing Law and Disputes
These terms are governed by the laws of the Republic of Korea without regard to conflict-of-law rules. Parties agree to attempt good-faith negotiation followed by jurisdiction in the courts located in Busan unless another venue is explicitly stated in a signed contract.
9. Termination
Either party may terminate for material breach if cure fails within thirty days of written notice. You may terminate convenience subject to payment for work performed and non-refundable third-party costs identified in your statement of work.
10. Modifications
We may update these General Terms periodically. Material changes will be posted with a revised “last updated” date. Continued use of our services after notice constitutes acceptance where permitted by law.
